1. Overview

This Acceptable Use Policy (AUP) sets out the rules that apply to your use of any Services provided by SignedX Pty Ltd ACN 697 814 047 (SignedX, we, us or our) through our platform (Platform). The Services include our eSignature, identity verification and related products.

This AUP applies to all users of the Services and forms part of, and is to be read with, any other terms and conditions you have agreed with us in connection with the Services (Applicable Terms).

2. Purpose

This AUP exists to ensure the Services and the underlying Platform are used lawfully, ethically and efficiently, for the benefit of all users. It sets out what you can and cannot do when using the Services.

3. Your responsibilities

You must:

• use the Services only in good faith and for their intended purpose;

• comply with all applicable laws in any jurisdiction in which the Services are offered or received, including laws relating to personal information;

• respect third-party intellectual property rights, including copyright (and moral rights), trade marks, designs and patents;

• use the Services in a manner that does not interfere with or harm other users of the Services or the Platform; and

• comply with any reasonable instruction we give you to delete, remove or modify your use of the Services where, in our opinion, your use breaches this AUP, the Applicable Terms, the law, or a legitimate request from a third party.

4. Prohibited use

You must not:

• use the Services if you, or any intended recipient, is a direct competitor of SignedX, or operates a product or service that competes directly with the Services;

• use the Services to avoid incurring any fees or charges payable to us;

• copy, alter, modify, create derivative works from, reproduce, resell, sub-licence, reverse assemble, reverse engineer or reverse compile any part of the Services or the Platform, except as expressly permitted in the ordinary course of using the Services;

• view, analyse or deconstruct the Services or the Platform for the purpose of replicating them or developing a competing solution;

• create internet links to or from the Services, or frame, mirror or insert pop-ups within the Services, other than in the ordinary course of using the Services and without our prior written consent;

• engage in any conduct that is illegal in connection with the Services;

• upload, transmit or distribute through the Services any content that, in our opinion: (i) threatens the integrity or security of the Platform, the hosting infrastructure, the internet or any other user; (ii) contains a virus, trojan horse, worm or other malicious code; (iii) infringes the rights of others or is abusive, harmful, threatening, sexually explicit, indecent, unlawfully discriminatory, defamatory, harassing, offensive or otherwise objectionable; (iv) breaches any applicable law, code of conduct or industry standard; or (v) is false, misleading or deceptive (or is likely to be);

• engage in any act which we reasonably believe is intended or likely to damage, impair, interrupt, disable, overburden or otherwise interfere with the integrity, function, operation or delivery of the Services, the Platform or the hosting infrastructure;

• breach any applicable law preventing spam or unsolicited electronic messages;

• provide misleading or fraudulent information as to the origin of, or the identity of the person sending, any communication through the Services;

• disclose any information that is confidential to a third party without their consent in connection with the Services; or

• aid, abet, procure or permit any third party to do any of the above.

5. Consequences of breach

If we reasonably believe you are using the Services in a manner that does not comply with this AUP, we may, in our discretion and without notice:

• ask you to modify your use of the Services;

• intercept, remove or alter content stored on the Platform or our infrastructure;

• limit, suspend or block your access to the Services; and/or

• terminate your access to the Services.

A breach of this AUP may also constitute a breach of your Applicable Terms, in which case we may also exercise any rights or remedies available under those Applicable Terms or at law.

6. Amendments

We may update this AUP from time to time at our discretion. The current version will always be available on our Website and applies from the date it is posted.

7. Relationship with Applicable Terms

This AUP is to be read together with your Applicable Terms. To the extent of any inconsistency between this AUP and the Applicable Terms, the Applicable Terms prevail.
